These Terms of Use ("Agreement") are a legal agreement between you (“you” or “User”) and Bison Payments LLC ("Bison", “we”, “us”, or “our”) governing your access to and use of our website located at https://app.bisonpayments.com (the “Site”).

By accessing or using the Site, you agree to be bound by this Agreement. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SITE.

1. Scope of Agreement. This Agreement governs your access to and use of the Site only.
Any payment, account, or financial services (collectively, the “Services”) offered by Bison are governed by separate agreements, including but not limited to:
  • Quick Pay Agreement
  • Bison Lender Marketplace Agreement
  • RCA Participation Agreement
In the event of a conflict, those agreements will govern with respect to the Services. References to “Services” in this Agreement are included solely for clarity and do not expand the scope of this Agreement beyond Site use.
2. Changes to this Agreement. We may modify this Agreement from time to time.
  • Non-material changes: Effective upon posting.
  • Material changes: We will provide reasonable advance notice (e.g., website notice or email) and such changes will become effective no earlier than thirty (30) days after notice.

If you do not agree to the updated Agreement, you must discontinue use of the Site. You can view the most recent version of this Agreement any time at https://app.bisonpayments.com/terms-and-conditions.

3. Eligibility. By using the Site, you represent and warrant that:
  • You are at least 18 years of age or the age of majority in your jurisdiction of residence (if higher)
  • You have the legal capacity to enter into this Agreement.
The Site is not intended for individuals under 18. Bison does not knowingly collect information from individuals under the age of 18. If you are under 18, you may not use the Site.
4. Privacy. Your use of the Site is also governed by our Privacy Policy: https://bisonpayments.com/privacy-policy/ which is incorporated by reference. We collect, use, and disclose information:
  • In accordance with our Privacy Policy
  • For the purposes described therein
  • In compliance with applicable laws and regulations
5. Site Content and Availability. The Site is provided on an “as is” and “as available” basis; and may use internet services that are not under our direct control. While we strive to provide accurate descriptions of our products and services, we do not guarantee that:
  • The descriptions, pricing, or other content on the Site are accurate, complete, or current.
  • The site will be uninterrupted, secure, or error free.
We reserve the right to:
  • Modify or discontinue the Site at any time
  • Correct errors or inaccuracies; and to cancel any purchases that were placed using incorrect descriptions or pricing.
  • Restrict access to all or part of the Site
The Site may be subject to downtime, delays, or interruptions due to maintenance, system failures, or third-party dependencies.
6. Intellectual Property. All content on the Site, including text, graphics, logos, trademarks, images, and software is, and shall continue to be, the property of Bison or its content suppliers or licensors and is protected by applicable laws (including copyright, patent, trademark, and other proprietary rights). You are granted a limited, revocable, non-exclusive, non-transferable license to use the Site for personal, lawful purposes only.
You may not:
  • Copy, reproduce, distribute, or create derivative works
  • Reverse engineer or attempt to access source code
  • Use Bison’s intellectual property without prior written consent
Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.
7. Acceptable Use. You agree not to use the Site to:
  • Violate any applicable law or regulation
  • Engage in fraudulent, deceptive, or unlawful conduct
  • Infringe the rights of others
  • Interfere with the Site’s operation or security
  • Introduce malware or harmful code
  • Attempt unauthorized access to systems or data
  • Use automated tools (e.g., bots, scrapers) without authorization
8. Financial Crime Restrictions. You further agree not to use the Site or Services to engage in:
  • Money laundering
  • Terrorist financing
  • Fraud or deception
  • Sanctions violations
  • Any activity that may expose Bison to regulatory or legal risk
9. Account Security. If you create or access an account:
  • You are responsible for maintaining the confidentiality of your credentials
  • You must notify Bison immediately of any unauthorized access or use
  • You are responsible for all activity under your account unless otherwise required by law
Bison is not responsible for losses arising from unauthorized access to your account except to the extent required by applicable law.
10. Electronic Communications. You agree to receive communications electronically, including notices, disclosures, and agreements. Your use of the Site is also subject to the Electronic Communications Agreement attached hereto as Appendix A. You are responsible for maintaining accurate contact information, including a valid email address.
11. Third-Party Links. The Site may contain links to third-party websites or services. This Site’s Terms of Use or Privacy Policy do not apply to those other websites, which may have their own terms and policies. You should review the terms of use and privacy policies of any other websites that you visit.
Bison is not responsible for:
  • The content or practices of such third-parties
  • Any damages arising from your use of third-party services
12. Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Site.
You represent that:
  • All information provided is accurate and complete
  • Your use of the Site does not violate any applicable legal obligations
13. Export Controls and Sanctions. You agree that you will not use the Site or any related Services in violation of any applicable export control laws or regulations, including those of the United States. Without limiting the foregoing, you represent and warrant that you are not located in, organized under the laws of, or a resident of any country or territory that is subject to U.S. embargoes or sanctions, and that you are not identified on any U.S. government restricted party list, including those administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”).
14. Regulatory and Financial Services Disclaimer. Unless expressly stated otherwise:
Bison is a financial technology company and not a bank. Banking services, if applicable, are provided by Core Bank, Member FDIC. Bison is not acting as a fiduciary, trustee, or financial advisor unless expressly stated. Any financial or payment services are provided pursuant to separate agreements and may involve third-party regulated institutions.

Nothing on the Site constitutes:

  • Financial advice
  • Legal advice
  • An offer to provide regulated services
15. Disclaimer of Warranties. THE INFORMATION ON THIS SITE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. BISON DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE SHALL BE TO DISCONTINUE USING THE SITE. WE DO NOT GUARANTEE THAT THE SITE WILL BE SECURE OR FREE FROM UNAUTHORIZED ACCESS OR CYBER THREATS.
16. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BISON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, BISON’S TOTAL LIABILITY SHALL NOT EXCEED:

  • USD $100
  • THE AMOUNT PAID BY YOU TO BISON IN THE PAST 12 MONTHS, WHICHEVER IS GREATER

Nothing in this Agreement excludes liability for:

  • Gross negligence
  • Willful misconduct
  • Any liability that cannot be excluded under applicable law
17. Indemnification. You agree to indemnify, defend, and hold harmless Bison and its affiliates, officers, employees, and partners from any claims, losses, or damages, arising from:
  • Your use of the Site
  • Your violation of this Agreement
  • Your violation of any applicable law or third-party rights
18. Termination. You may stop using the Site at any time. We may suspend or terminate your access to the Site:
  • At any time
  • With or without notice
  • For security, legal, or legitimate business reasons
19. Force Majeure. Bison shall not be liable for any failure or delay in performance under this Agreement to the extent such failure or delay is caused by circumstances beyond Bison’s reasonable control, including without limitation acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action, labor disputes, internet or telecommunications failures, denial-of-service attacks, or failures of third-party service providers.
20. Assignment. You may not assign or transfer this Agreement, in whole or in part, without Bison’s prior written consent, and any attempted assignment in violation of this provision shall be void. Bison may freely assign or transfer this Agreement, in whole or in part, including to any affiliate, successor in interest, or acquirer of all or substantially all of Bison’s assets or business. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
21. Governing Law. You agree that the laws of the state of Oklahoma without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and Bison or its affiliates. Venue shall be the state and federal courts located in Oklahoma.
22. Dispute Resolution. Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Site, including its interpretation, breach, termination, or validity, shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its applicable rules. The arbitration shall be governed by the laws of the State of Oklahoma, without regard to its conflict of law principles. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver: To the extent permitted by law, you and Bison agree that any dispute shall be brought solely in an individual capacity and not as part of any class, collective, or representative action.

Equitable Relief Exception: Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property, confidentiality, security breaches, or unauthorized use of the Site or Services.

Nothing in this section limits any non-waivable rights you may have under applicable consumer protection laws.

23. Waiver and Severability. No failure or delay by Bison in exercising any right under this Agreement shall constitute a waiver of that right. If any provision of this Agreement is held to be invalid, illegal, or unenforceable:
  • That provision shall be enforced to the maximum extent permitted by law
  • The remaining provisions shall remain in full force and effect
24. Relationship of the Parties. Nothing in this agreement creates any partnership, joint venture, agency, or employment relationship between you and Bison. You have no authority to:
  • Bind Bison
  • Act on behalf of Bison
  • Represent yourself as affiliated with Bison
25. Waiver of Jury Trial. To the extent permitted by law, you and Bison waive any right to a trial by jury in connection with any dispute arising out of this Agreement.
26. Notices. Bison may provide notices by posting on the Site, sending to your email address on file, or by other reasonable measures.
  • Notices sent by email shall be deemed given when sent, provided no delivery failure notice is received.
  • Notices posted on the Site shall be deemed given upon posting for general informational purposes.
  • Notices sent by mail shall be deemed given upon receipt or 7 days after mailing, whichever occurs first.

27. Entire Agreement. This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Bison regarding your use of the Site and supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Bison with respect to the Site. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
28. Copyright Complaints. If you believe content infringes your rights, please submit a notice to support@getbison.com including the following:
  • Your contact information
  • Description of the copyrighted work
  • Location of the infringing material
  • A statement of good faith belief
  • A statement under penalty of perjury

Appendix A: Electronic Communications Agreement

Bison Payments LLC together with its affiliates (“Bison“, “we“, “us“ and “our“) may need to provide you with certain information, agreements, and disclosures in writing in connection with the services offered by Bison (“Communications”). By agreeing to this Electronic Communications Agreement (this “Agreement”), you are confirming your ability, and providing your consent, to: (i) receive Communications electronically from Bison and our designees instead of in paper form, and (ii) use electronic signatures in connection with our relationship with you. Without limiting the foregoing, you further agree that Communications may be provided to you via email, text message, the website at www.bisonpayments.com or a successor website (“Website”), and any other reasonable electronic notification methods.

If electronic delivery of Communications fails or is returned as undeliverable, Bison may deem such Communications delivered if sent to your last known contact information. Withdrawal of your consent to electronic Communications may limit, suspend, or terminate your ability to access or use certain Services.

Our ability to provide Communications to you electronically is dependent upon you maintaining a valid, working email address. Therefore, you agree to provide us with and maintain a valid, working email address for Communications that will be delivered by email and that you will promptly notify us of any change to your email address. For Communications that are provided to you via email, text message, the Website, or another electronic notification method, it is your responsibility to promptly review those Communications. We and our designees may, at our discretion, mail paper copies of Communications to you, in addition to or instead of sending them to you electronically. You may also request paper copies of electronic Communications, but please note that a fee may apply.

By agreeing to this Agreement, you consent, understand, and agree that: (i) you are entering into this Agreement electronically; (ii) you meet the minimum hardware and software requirements specified below; (iii) your consent to receive Communications electronically will remain valid until you withdraw your consent; and (iv) Communications that may be provided electronically include, but are not limited to, the following:

  • Agreements (including account agreements) and disclosures, including changes to and updated versions of those agreements and disclosures;
  • Bison’s Privacy Policy, and related notices;
  • Information regarding use of your account(s) and our services, including your account balances and activity for your account(s);
  • Account statements, authorizations, receipts, and transaction histories for your account(s);
  • Notices to you of the resolution of any error regarding your account(s); and
  • Inquiries and notices to you about transactions performed.

In order to access, view, and print/retain Communications electronically, you must have:

  • Access to a device (e.g., a computer, smartphone, mobile, device, tablet, etc.) that is suitable for connecting to the Internet and has a Current Version (as defined below) of: (i) an operating system, such as Windows, Mac OS, iOS or Android, and (ii) an Internet browser, such as Chrome, Safari, or Firefox, that we support;
  • A connection to the Internet;
  • Local electronic storage capacity to retain Communications and/or a printer to print Communications;
  • A valid, working email address and software to access it; and
  • Software that enables you to view and display files in HTML and PDF format.

By “Current Version,” we mean a version of the software that is currently being supported by its publisher. From time to time, we may offer services or features that require that your Internet browser be configured in a particular way, such as permitting the use of JavaScript or cookies. If we detect that your Internet browser is not properly configured, we may provide you with a notice and advice on how to update your configuration. We reserve the right to discontinue support of a Current Version of an operating system or Internet browser if, in our sole opinion, it suffers from a security flaw or other flaw that makes it unsuitable for use.

We reserve the right to modify this Agreement in our discretion. We will provide you with notice of any modifications, as required by applicable law.

Consent to receiving electronic Communications is a requirement of being able to use the Bison services. You can withdraw your consent to receiving electronic Communications or update your contact information by contacting Bison at support@getbison.com.
