Terms of Use

These Terms of Use ("Agreement") are a legal agreement between you and Bison Payments LLC("Bison"). By visiting the Bison website ("Site"), you agree to be bound by this Agreement. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT VISIT THE BISON WEBSITE.

1. Agreement. This Agreement governs your access to and use of the Site. This Agreement may be modified at any time by Bison by posting the modified Agreement to the Site. Any such modifications shall be effective immediately upon posting unless some other effective date is expressly stated. You can view the most recent version of this Agreement at any time at https://app.bisonpayments.com/terms-and-conditions. Your use of this Site shall constitute and be deemed your unconditional acceptance of this Agreement.

2. Privacy. Your use of the Site is also governed by our Privacy Policy, which is hereby incorporated into this Agreement. Please review our Privacy Policy at https://bisonpayments.com/privacy-policy/. Bison reserves the right, and you authorize us, to use and assign all information provided by or collected from you in any manner consistent with our Privacy Policy.

3. Eligibility. By using the Site, you represent and warrant that you either: (i) have reached 18 years of age or the age of majority in your jurisdiction of residence and can enter into binding legal agreements; or (ii) if you are under 18 or the age of majority in your jurisdiction, you have the permission of a parent or legal guardian to use this Site.

4. Site Content. The Site is provided on an “as is” basis and may use internet services that are not under our direct control. While we strive to provide accurate descriptions of our products and services, we do not warrant that the descriptions, pricing, or other content on the Site are accurate, complete, or current. We reserve the right to correct errors and to cancel any purchases that were placed using incorrect descriptions or pricing. We do not warrant that the Site or its features will be accessible at all times or that it will function in an error free manner. We reserve the right to cease operating the Site or any of its features at any time.

5. Intellectual Property. All content on this Site, including without limitation, graphics, logos, trademarks, images, and software is, and shall continue to be, the property of Bison or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.

6. Site Use. Bison grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy content from the Site, reverse engineer or hack into the Site, or use materials, products or services in violation of any law. Your use of this Site is at the discretion of Bison who may terminate your access and use at any time.

7. Links to Other Sites. The Site may provide links to other websites. This Site’s Terms of Use or Privacy Policy do not apply to those other websites, which may have their own terms and policies. You should review the terms of use and privacy policies of any other websites that you visit.

8. Electronic Communications. You agree to the Electronic Communications Agreement attached hereto as Appendix A.

9. Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Site. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

10. Indemnification. You agree to indemnify, defend and hold Bison and our partners, employees, and affiliates, harmless from any liability, loss, claim and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of the Site.

11. Disclaimer. THE INFORMATION ON THIS SITE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK.BISON DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE SHALL BE TO DISCONTINUE USING THE SITE.

12. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL BISON BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

13. Applicable Law. You agree that the laws of the state of Oklahoma without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and Bison or its affiliates. Venue shall be the state and federal courts located in Oklahoma.

14. Arbitration. At Bison’s sole discretion, it may require you to submit any disputes arising from this Agreement or use of the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Oklahoma law.

15. Waiver and Severability. No waiver by Bison of any term or condition set out in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Bison to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

16. Relationship of the Parties. Each party is, and shall remain, an independent contractor and nothing contained in this Agreement shall be construed to make either party a partner, joint venturer, employee or agent of the other party, and neither party shall hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party.


Appendix A: Electronic Communications Agreement

Bison Payments LLC together with its affiliates (“Bison,“, “we,“, “us,“ and “our“) may need to provide you with certain information, agreements, and disclosures in writing in connection with the services offered by Bison (“Communications“). By agreeing to this Electronic Communications Agreement (this “Agreement“), you are confirming your ability, and providing your consent, to: (i) receive Communications electronically from Bison and our designees instead of in paper form, and (ii) use electronic signatures in connection with our relationship with you. Without limiting the foregoing, you further agree that Communications may be provided to you via email, text message, the website at www.bisonpayments.com or a successor website (“Website“), and any other reasonable electronic notification methods.

Our ability to provide Communications to you electronically is dependent upon you maintaining a valid, working email address. Therefore, you agree to provide us with and maintain a valid, working email address for Communications that will be delivered by email and that you will promptly notify us of any change to your email address. For Communications that are provided to you via email, text message, the Website, or another electronic notification method, it is your responsibility to promptly review those Communications. We and our designees may, at our discretion, mail paper copies of Communications to you, in addition to or instead of sending them to you electronically. You may also request paper copies of electronic Communications, but please note that a fee may apply.

By agreeing to this Agreement, you consent, understand, and agree that: (i) you are entering into this Agreement electronically; (ii) you meet the minimum hardware and software requirements specified below; (iii) your consent to receive Communications electronically will remain valid until you withdraw your consent; and (iv) Communications that may be provided electronically include, but are not limited to, the following:
  • Agreements (including account agreements) and disclosures, including changes to and updated versions of those agreements and disclosures;
  • Bison’s Privacy Policy, and related notices;
  • Information regarding use of your account(s) and our services, including your account balances and activity for your account(s);
  • Account statements, authorizations, receipts, and transaction histories for your account(s);
  • Notices to you of the resolution of any error regarding your account(s); and
  • Inquiries and notices to you about transactions performed.

In order to access, view, and print/retain Communications electronically, you must have:

  • Access to a device (e.g., a computer, smartphone, mobile, device, tablet, etc.) that is suitable for connecting to the Internet and has a Current Version (as defined below) of: (i) an operating system, such as Windows, Mac OS, iOS or Android, and (ii) an Internet browser, such as Chrome, Safari, or Firefox, that we support;
  • A connection to the Internet;
  • Local electronic storage capacity to retain Communications and/or a printer to print Communications;
  • A valid, working email address and software to access it; and
  • Software that enables you to view and display files in HTML and PDF format.

By “Current Version,” we mean a version of the software that is currently being supported by its publisher. From time to time, we may offer services or features that require that your Internet browser be configured in a particular way, such as permitting the use of JavaScript or cookies. If we detect that your Internet browser is not properly configured, we may provide you with a notice and advice on how to update your configuration. We reserve the right to discontinue support of a Current Version of an operating system or Internet browser if, in our sole opinion, it suffers from a security flaw or other flaw that makes it unsuitable for use.

We reserve the right to modify this Agreement in our discretion. We will provide you with notice of any modifications, as required by applicable law.

Consent to receiving electronic Communications is a requirement of being able to use the Bison services. You can withdraw your consent to receiving electronic Communications or update your contact information by contacting Bison at support@bisonok.com.
